Terms and Conditions of Sale
These Terms and Conditions (“Terms”) apply to all estimates, invoices, and sales of products by Meteek Supply (“Meteek Supply,” “we,” or “us”) to the customer named on the applicable estimate or invoice (“Customer”). By accepting an estimate, placing an order, or accepting delivery of products, Customer agrees to be bound by these Terms.
1. Estimates and Pricing
Estimates are valid for 30 days from the date of issue unless otherwise noted. Prices are subject to change after this period. All prices are quoted in U.S. dollars and do not include applicable sales tax, shipping, or handling charges unless expressly stated.
2. Payment Terms
Payment is due upon receipt of invoice unless alternate terms have been agreed to in writing. Accepted payment methods will be indicated on the invoice. Customer is responsible for any bank or processing fees associated with payment.
3. Customer Review of Invoice
It is Customer's responsibility to review all quantities, products, descriptions, and pricing listed on an invoice prior to payment. Payment of an invoice constitutes Customer's acknowledgment that the listed quantities and products are correct. Customer should report any discrepancies to Meteek Supply before submitting payment; Meteek Supply is not obligated to issue a refund or credit for errors that could have been identified through a timely review.
4. Late Payments
Invoices not paid by the due date are subject to a late fee of 1.5% per month (18% per annum), or the maximum rate permitted by law, on any outstanding balance. Meteek Supply reserves the right to suspend future orders or deliveries until the account is brought current, and Customer agrees to reimburse Meteek Supply for reasonable collection costs, including attorney fees, incurred in recovering unpaid amounts.
5. Shipping and Delivery
Shipping dates are estimates only and are not guaranteed. Title and risk of loss pass to Customer upon delivery of products to the carrier. Meteek Supply is not liable for delays or damage caused by the carrier once goods have shipped.
6. Returns and Restocking Fees
Return requests must be made within 14 days of delivery. Products must be returned in their original, unused condition and original packaging to be eligible for a refund or credit. Approved returns are subject to a restocking fee of 15% of the purchase price. Shipping charges are non-refundable, and Customer is responsible for return shipping costs unless the return is due to a Meteek Supply error or defective product. Custom or special-order items are not eligible for return.
7. Warranty Disclaimer
Except as expressly stated in writing, all products are provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the fullest extent permitted by law, Meteek Supply's total liability arising out of any order or invoice shall not exceed the amount paid by Customer for the products giving rise to the claim. Meteek Supply is not liable for indirect, incidental, special, or consequential damages, including lost profits, even if advised of the possibility of such damages.
9. Disputes and Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or any invoice shall be resolved in the state or federal courts located in Minnesota, and Customer consents to the jurisdiction of such courts.
